Quanergy Systems
The business, the turning points, and the decisions behind them.
01 / WHAT IT BUILT
What the company did
Quanergy Systems, founded in 2012 in Sunnyvale, California, was a leading provider of LiDAR sensors and smart 3D solutions for IoT and automotive applications - industrial automation, physical security, smart cities and smart spaces. It raised about $350 million privately at a $1.5 billion valuation, listed on the NYSE (ticker QNGY) in early 2022 via a SPAC merger, and said its solutions were deployed by nearly 400 customers worldwide.
02 / Quanergy Systems FAILURE REASONS
Why it failed
Quanergy never reached the revenue scale to justify its SPAC-era valuation. After listing in early 2022, its share price collapsed: a $15.4 million offering closed November 2, 2022, and within four trading days NYSE Regulation moved to delist the stock (November 8, 2022) because the company failed to maintain $15 million average market capitalization. With its equity value destroyed, bankruptcy became inevitable: on December 13, 2022, Quanergy filed a voluntary Chapter 11 petition with no reorganization plan, announcing it would sell substantially all of its assets on an expedited basis.

05 / AFTERMATH
Lessons
- SPAC listings don't fix weak unit economics: going public amplified Quanergy's problems instead of solving them, as the market priced in the missing revenue.
- A listing standard can trigger the endgame: once Quanergy fell below the NYSE's $15 million market-cap threshold, delisting made bankruptcy both inevitable and imminent.
