Shape Robotics
The business, the turning points, and the decisions behind them.
01 / WHAT IT BUILT
What the company did
Shape Robotics A/S was a Danish edtech robotics company founded in 2015, listed on Nasdaq Copenhagen's First North. It developed modular educational robots and phased-learning platforms (phase.education) used in classrooms, selling through subsidiaries in five countries. At its peak the company had over 4,800 shareholders and reported assets of DKK 199 million (~$29 million).
02 / Shape Robotics FAILURE REASONS
Why it failed
Shape Robotics collapsed under a pile-up of governance breakdown, alleged market manipulation and insolvency proceedings. The timeline, in brief: in March 2024 a Carnegie analyst published an aggressive buy report while personally holding shares, the company raised DKK 35 million at DKK 35 per share, and the stock fell 79%; in November 2025 the company filed a formal complaint with Nasdaq Copenhagen about a suspected pump-and-dump that it says destroyed DKK 205 million in shareholder value. That same November, a creditor (Treyd AB) filed a bankruptcy petition; the board was down to a single member, the auditor resigned and trading was suspended for non-disclosure. On January 6, 2026 the company was declared bankrupt — and the trustee wrote DKK 199 million in assets to zero over 59 days. On March 5, 2026 the High Court annulled the bankruptcy decree because the petition had never been lawfully served on the company — but the case went back for renewed consideration, trading stayed suspended, and the company's own website was non-operational. Whether the end comes via the courts or the market, the business as it existed was destroyed: five subsidiaries deteriorating, management gone, and regulatory referrals filed.

05 / AFTERMATH
Lessons
Shape Robotics' lesson is that on public markets, governance failures compound faster than business failures. A pump-and-dump allegation, a one-person board, a resigned auditor and undisclosed bankruptcy petitions each alone might be survivable; together they froze the stock, triggered insolvency proceedings, and destroyed what was once a DKK 199-million company. The lesson: for small listed companies, transparency and disclosure discipline are not administrative chores — they are the product, because the moment the market stops believing the filings, the share price becomes the business problem.
