01 / WHAT IT BUILT

What the company did

Wag! was a US on-demand pet-care marketplace founded in 2015. Its platform connected pet owners with dog walkers, sitters and other pet-care providers, later expanding into pet insurance, wellness and a prescription-management product called Furscription. The company raised about $361 million in venture funding, reached a $650 million valuation, and went public on Nasdaq (ticker PET) via a SPAC merger in August 2022.

02 / Wag! FAILURE REASONS

Failure reasons

Wag! never reached profitability and was crushed by debt it could not refinance: its financing-agreement borrowings exceeded its cash balance even after voluntary paydowns. The post-SPAC era destroyed its equity cushion - the stock collapsed, delisting loomed, and a strategic-alternatives review in early 2025 produced no rescue. Management was reduced to selling assets for survival, offloading the Furscription business for $5 million just to pay down the secured lender, before filing for bankruptcy.

05 / CAUSAL CHAIN

How the factors connect

  1. 01

On July 21, 2025, Wag! Group Co. filed a joint prepackaged Chapter 11 plan in the US Bankruptcy Court for the District of Delaware, with up to $6.5 million in debtor-in-possession financing from secured lender Retriever LLC to keep operating.

  2. 02

About $16.3 million in term-loan borrowings were accelerated; the $5 million Furscription asset sale shortly before the filing went largely to pay down the secured debt.

  3. 03

On September 1, 2025, the plan was consummated: all existing common stock and other equity interests were cancelled and extinguished - a total loss for shareholders - while Retriever LLC received 100% of the reorganized company's equity plus $5 million in new notes, with an exit facility of up to $18.3 million. The company continues operating under its lender-owner.
