01 / WHAT IT BUILT

What the company did

Volta Charging, founded in 2010, built an electric-vehicle charging network with a distinctive dual business model: its charging stalls carried large digital advertising screens, and in most cases drivers could charge their cars for free while advertisers paid. At its peak the network had over 3,000 charging stalls at roughly 1,000 sites across 31 U.S. states and territories, plus more than 5,700 ad screens generating about one billion monthly media impressions.

02 / Volta Charging FAILURE REASONS

Failure reasons

Volta's ad-funded free-charging model proved hard to scale: building and maintaining thousands of stalls was capital-intensive, and after going public via SPAC in 2021 the company ran into ongoing capital constraints and challenging market conditions. Interim CEO Vince Cubbage acknowledged its ability to capture the EV infrastructure opportunity independently was 'limited.' Volta sold itself to Shell for $169 million in 2023 - a fraction of its former $2 billion valuation - and Shell later shut the operation down entirely.

05 / CAUSAL CHAIN

How the factors connect

  1. 01

After listing via SPAC at about $1.4 billion, Volta's capital constraints forced a sale: Shell USA bought the company in 2023 for about $169 million in cash ($0.86 per share) and repaid roughly $14 million of its debt.

  2. 02

Volta continued operating under Shell until 2025, when Shell closed Volta Media, laid off the remaining 190 employees, and began removing more than 2,000 charging stations.

  3. 03

The $169 million sale price represented a steep discount to the company's former ~$2 billion valuation, marking the end of the ad-funded free-charging model as an independent business.
