02 / Alpine 4 FAILURE REASONS
Failure factors supported by the current evidence
In an 11 February 2025 Form 8-K shareholder letter, CEO Kent Wilson said Alpine 4 Holdings faced a multi-year failure to become current on public-company audits after an auditor change, which blocked traditional capital raising, strained bank covenants, and forced high-cost alternative capital; a required restatement of 2022 financials in November 2024 added further strain, after which the board concluded shutdown was the only viable path.
The CEO described a multi-year audit loop after switching auditors, late filings, and a November 2024 need to restate 2022 financials.
He said lack of filing compliance blocked traditional capital markets and an unused $33M equity line, limiting funding of key projects.
He said delayed filings led banks to impose covenant restrictions, reduced capital availability, higher fees, and reliance on high-cost alternative capital.
