01 / WHAT IT BUILT

What the company did

The Digital River SaaS division delivered the company's e-commerce infrastructure and Merchant-of-Record platform as a service: global payment processing, international tax and VAT compliance, fraud management and localized checkout, sold to SaaS and subscription businesses selling across borders. Founded with the parent company in 1994, the division grew with Digital River's global platform (over $30 billion in online transactions processed in 2013) and continued under Siris Capital after the $840 million take-private in 2015.

02 / Digital River (SaaS Division) FAILURE REASONS

Failure reasons

The division's product was shut down as part of Digital River's company-wide wind-down in 2025. CEO Barry Kasoff cited a rapid contraction of key customers, headwinds from new deals with shorter payment terms, US trade policies that hit one of the company's largest customers, and rising operational costs and tax obligations - leaving no path forward. On January 28, 2025 the company suspended services to the majority of its global customers and began shutting down, culminating in a Chapter 7 bankruptcy filing in May 2025.
