01 / WHAT IT BUILT

What the company did

Bitwise Industries was a Fresno, California company founded in July 2013 by Irma Olguin Jr. and Jake Soberal. It grew out of Geekwise Academy, a 2012 coding boot camp for the underprivileged, into three lines of business: programming instruction, a software development arm (Shift3 Technologies), and real-estate operations buying and renovating downtown buildings into tech campuses (Bitwise South Stadium, 2015). It expanded to cities in California, Texas and Ohio, and raised at least $157 million from Kapor Capital, Motley Fool Ventures, Candide Group, Goldman Sachs Asset Management and others. On Memorial Day 2023 it furloughed all ~900 employees; it filed for Chapter 7 liquidation on June 29, 2023. In December 2024 both founders pleaded guilty to wire fraud and were sentenced to 9 and 11 years in federal prison.

02 / Bitwise Industries FAILURE REASONS

Failure reasons

Bitwise died of fraud, not competition. From no later than January 2022, the founders falsified board presentations, forged bank statements and a fake audit report to raise about $70 million more from investors, lying about revenue and cash balances while the company was chronically short of cash - they were paying themselves roughly $600,000 each as co-CEOs. In late May 2023 the truth came out to the board; the workforce was furloughed the next day, the founders were removed, and the company filed Chapter 7 a month later. Both pleaded guilty in December 2024 to defrauding investors and lenders of about $115 million, agreeing to pay that sum in restitution, and were sentenced to 9 (Olguin) and 11 (Soberal) years in prison. An honest admission of failure would have been cheaper than the lies.

05 / CAUSAL CHAIN

How the factors connect

  1. 01

Admit failure early: the founders chose lies over honesty and turned a dying company into a $115M fraud.

  2. 02

Fabricated financials always surface: fake audit reports and altered bank statements get caught.

  3. 03

Watch the cash, not the press: Bitwise was a media darling while it could not make payroll.

  4. 04

Board oversight matters: the fraud ran for 18+ months before the board saw the true state.

  5. 05

Fraud destroys everyone: 900 employees lost jobs; investors may never recover; founders went to prison.
