Boxed
The business, the turning points, and the decisions behind them.
01 / WHAT IT BUILT
What the company did
Boxed was a United States online wholesale retailer founded in 2013, often described as a membership-free online Costco. It sold bulk-sized pantry items and household essentials at wholesale prices to consumers and businesses, and listed on the New York Stock Exchange via a SPAC merger in 2021. On April 2, 2023, it filed for Chapter 11 bankruptcy protection with just over $102.5 million in assets against more than $190 million in debts; its retail business was wound down and the Boxed.com brand was acquired by MSG Distributors in August 2023.

05 / CAUSAL CHAIN
How the factors connect
- 01
Bulk e-commerce is a scale game with thin margins: without Costco-scale purchasing power, the unit economics never worked.
- 02
Keep treasury risk in mind: holding most liquid assets at Silicon Valley Bank turned a cash crunch into a collapse when the bank failed.
- 03
A SPAC listing does not fix a broken model — it just gives the market a ticker to short.
- 04
In bankruptcy, separate the salvageable: the Spresso software unit was spun out while the retail business wound down.
