Axcella
The business, the turning points, and the decisions behind them.
01 / WHAT IT BUILT
What the company did
Axcella (later Axcella Health) was a clinical-stage biotechnology company founded by Flagship Pioneering in 2011. The company developed endogenous metabolic modulators (EMMs) - proprietary compositions of amino acids designed to restore cellular homeostasis and address complex diseases. Its lead candidate, AXA1125, was first tested for nonalcoholic steatohepatitis (NASH) in the EMMPACT Phase 2b trial, then repurposed for fatigue associated with Long COVID. The Nasdaq-listed company raised about $185.5 million in total funding over its lifetime. After a December 2022 restructuring that cut 85% of its workforce and an August 2023 Phase IIa readout that missed its primary endpoint, stockholders approved the company's liquidation and dissolution in December 2023.
02 / Axcella FAILURE REASONS
Failure factors supported by the current evidence
Axcella's 17 November 2023 DEF 14A states the board proposed an assignment for the benefit of creditors and dissolution because the company could not continue operations on existing cash and expected cash flow and could not raise additional equity, debt or other financing needed to fund operations and service obligations.
The proxy says the company was unable to secure additional equity, debt or other financing and could not raise the additional capital needed to fund operations and service obligations.
The board said Axcella was unable to continue ongoing operations with current cash and anticipated future cash flow.
03 / EVENT HISTORY
Events in the structured record
- Liquidation
Axcella's 4 December 2023 special meeting approved transferring substantially all assets via a Delaware assignment for the benefit of creditors and a plan of liquidation and dissolution (companion 8-K on the meeting).
- Liquidation
The 8-K reports that on 5 December 2023 Axcella completed transfer of all or substantially all assets to Axcella (assignment for the benefit of creditors), LLC under Delaware ABC law—a judicial insolvency/liquidation path, not a going-concern sale.

05 / CAUSAL CHAIN
How the factors connect
- 01
After seeking potential funding sources and other ways to continue operating, the board determined there was no viable alternative to an assignment for the benefit of creditors and adopted a Plan of Dissolution on November 1, 2023.
- 02
Stockholders approved the liquidation and dissolution of the company in December 2023, authorizing the board to wind up operations.
- 03
The company's assets were transferred through an assignment for the benefit of creditors, which the board said offered the best recovery for creditors and might provide future payments to stockholders.
- 04
With cash and cash equivalents of $8.9 million at June 30, 2023 and no significant remaining business operations, the public company completed its wind-down into 2024.
