Proterra
The business, the turning points, and the decisions behind them.
01 / WHAT IT BUILT
What the company did
Proterra manufactured electric transit buses, battery systems and fleet charging equipment.
02 / Proterra FAILURE REASONS
Failure reasons
Its restructuring disclosure identifies high working-capital requirements, unfavorable long-term bus contracts and delivery shortfalls. Debt restrictions and the bus business’s financial burden prevented additional financing or a pre-bankruptcy sale, while other divisions also needed growth capital.
03 / EVENT HISTORY
Events in the structured record
- Founded
Proterra founded as a maker of electric transit buses; investors including GM Ventures backed its early success.
- SPAC merger
Merged with SPAC ArcLight Clean Transition Corp, raising about $640 million, then expanded into battery making and charging infrastructure.
- Chapter 11 filing
In August 2023 Proterra filed for Chapter 11 bankruptcy protection, reporting assets and liabilities each of $500 million-$1 billion. It took on heavy pandemic-era debt, paid sky-high prices for scarce components, and loan covenants limited its ability to raise more capital.
- Asset auctions
In November 2023 the bankruptcy auctions concluded: Volvo Group won the Proterra Powered battery business for $210 million, Phoenix Motor won the Proterra Transit bus business for $10 million, and CSI (Cowen funds) won the Proterra Energy charging business through the reorganization plan.
- Sales closed
Volvo completed the battery-business acquisition on February 1, 2024; Phoenix Motor closed the Proterra Transit acquisition in January 2024.
