Babylon
The business, the turning points, and the decisions behind them.
01 / WHAT IT BUILT
What the company did
Babylon was a London-based digital health company founded in 2013 by British-Iranian entrepreneur Ali Parsa. Its platform combined an AI-powered symptom checker with video and chat consultations, letting patients see a doctor remotely. In the UK it ran the NHS-funded GP at Hand online GP practice with over 100,000 registered patients; in Rwanda it operated Babyl, a mobile health service covering roughly 30% of the country's adult population. The company listed on Nasdaq via a SPAC merger in October 2021 at a $4.2 billion valuation, but its share price collapsed and in August-September 2023 it filed for Chapter 7 bankruptcy in the US and entered administration in the UK, with its UK assets sold to US healthcare company eMed for £500,000 (about $635,000).
02 / Babylon FAILURE REASONS
Failure factors supported by the current evidence
Babylon Holdings Limited's 7 August 2023 SEC exhibit states the AlbaCore/MindMaze combination would not proceed and that, after the amended AlbaCore bridge notes, the group had no binding commitment for additional financing to continue operations; without new financing or a third-party sale it would file U.S. liquidation bankruptcy and/or UK administration. Fierce Healthcare separately quoted Babylon's Texas WARN notice that no investor or lender deal could be reached and it was forced to cease U.S. operations and liquidate remaining collateral.
The 7 August 2023 release says Babylon had no binding commitment for additional financing to continue operations after the AlbaCore bridge facility.
The AlbaCore Capital and MindMaze Group SA proposed combination of core operating subsidiaries, announced 23 June 2023, would not proceed.
03 / EVENT HISTORY
Events in the structured record
- Liquidation
Fierce Healthcare and contemporaneous reporting state Babylon Healthcare and Babylon Inc. filed liquidation bankruptcy in Delaware on 9 August 2023 to liquidate rather than reorganize; COO Paul-Henri Ferrand's petitions said unsecured creditors would receive nothing after administrative expenses.
- Bankruptcy
TechCrunch reported that on 30 August 2023 the UK subsidiary went into administration and Alvarez & Marsal sold a large chunk of remaining UK assets to eMed Healthcare UK—the article frames the outcome as bankrupt and sold for parts, not a going-concern equity merger of Babylon Holdings.

05 / CAUSAL CHAIN
How the factors connect
- 01
In August 2023 the company filed for Chapter 7 bankruptcy for two US subsidiaries, seeking liquidation rather than restructuring, after a rescue merger with MindMaze fell through.
- 02
The UK business entered administration in September 2023, appointed to Alvarez & Marsal.
- 03
Administrators sold the UK assets - including the GP at Hand app and the AI research division Babylon Partners - to US healthcare company eMed for £500,000 (about $635,000).
- 04
A company once valued at $4.2 billion on its Nasdaq debut was worth only a few thousand dollars at the time of the collapse, after raising over $1.1 billion in funding during its lifetime.
