01 / WHAT IT BUILT

What the company did

Defy Media was a US digital media company formed from the 2013 merger of Break Media and Alloy Digital. It operated a portfolio of online video brands and multi-channel network properties including Smosh, Break.com, Clevver, Screen Junkies, The Escapist and MadeMan, reaching large audiences on YouTube and social platforms. Its backers included ZMC, ABS Capital Partners, Lionsgate and Viacom, and Wellington Management invested $70 million in 2016.

02 / Defy Media FAILURE REASONS

Failure reasons

Defy Media collapsed after years of poor financial practices and unrealistic investments. It over-relied on revenue from major social media platforms while costs stayed high, and former employees and executives blamed mismanagement and a changing new-media market. In its final year the company stopped paying publishing partners, sold off The Escapist and Screen Junkies, and could not satisfy its senior creditor, Ally Bank, which rejected buyout offers from former CEO Matt Diamond. The shutdown was abrupt: operations ceased on November 6, 2018 and creditors froze the company's assets within a day.

How the factors connect

  1. 01

In March 2018, Defy Media laid off 8% of its headcount and exited its programmatic advertising and video licensing businesses; in June, publishers claimed unpaid advertising bills, with Topix suing for $300,000.

  2. 02

In July 2018, Defy sold The Escapist to Enthusiast Gaming and Screen Junkies to Fandom to raise cash.

  3. 03

In fall 2018, former CEO Matt Diamond made multiple offers to senior creditor Ally Bank to buy the company; the bank rejected them.

  4. 04

On November 6, 2018, Defy Media announced it was shutting down effective immediately and laid off all employees at its Beverly Hills office; within a day, creditors froze the company's assets.

  5. 05

In February 2019, Mythical Entertainment acquired the Smosh brand for around $10 million; YouTuber MatPat later alleged Defy had withheld $1.7 million from creators, and lawsuits followed. No reliable loss figure was disclosed, so no loss amount is recorded.
