IronNet
The business, the turning points, and the decisions behind them.
01 / WHAT IT BUILT
What the company did
IronNet was a McLean, Virginia-based cybersecurity company founded in 2014 by General (Ret.) Keith Alexander, former director of the NSA and US Cyber Command. It sold a network detection and response platform built on 'collective defense': when one customer was hit by a novel attack, threat information was shared across the network so others could prepare. The company went public via SPAC in August 2021 at a reported $1.2 billion valuation, raising $136.7 million. After setbacks including a shareholder lawsuit, delayed payments from foreign government clients and the termination of AWS services, it ceased operations on September 29, 2023 and filed for Chapter 11 bankruptcy on October 12, 2023.
02 / IronNet FAILURE REASONS
Failure reasons
In IronNet president and CFO Cameron Pforr's court documents, the explanation was simple: 'the company ran out of money.' A shareholder lawsuit alleged overstated growth potential ahead of the listing; the company struggled to finalize new client contracts and secure payment from some foreign government clients; Amazon Web Services terminated key cloud services; and in an uncertain capital-raising environment no new funding could be secured. After furloughing most employees in early September 2023, IronNet terminated its remaining 104 employees and shut down operations on September 29, 2023.

05 / CAUSAL CHAIN
How the factors connect
- 01
IronNet raised $132 million in venture capital (Kleiner Perkins, C5 Capital, Forgepoint Capital, Phonix Insurance) before its 2021 SPAC merger, which added $136.7 million at a $1.2 billion valuation.
- 02
On September 29, 2023 IronNet ceased operations and terminated its remaining 104 employees; on October 12, 2023 it filed for voluntary Chapter 11 protection in Delaware, owing about $35 million to creditors.
- 03
A $10 million debtor-in-possession loan from ITC Global funded the bankruptcy; the court approved a Chapter 11 restructuring plan under which IronNet's assets would be sold to pay the ~$35 million owed to creditors.
