01 / WHAT IT BUILT

What the company did

Byju's (parent company Think & Learn Pvt. Ltd) was a Bengaluru-based edtech company founded in 2011 by Byju Raveendran, offering K-12 online learning products. At its peak it was the world's most valuable edtech startup, worth $22 billion and backed by roughly $5-6 billion in funding, after an acquisition spree that included about nine buys and the roughly $1 billion purchase of Aakash Educational Services. After years of cash burn, missed financial filings and lender disputes, the National Company Law Tribunal admitted insolvency proceedings against Think & Learn on 16 July 2024, suspending its board and appointing a resolution professional; the Supreme Court reinstated the insolvency process in October 2024 after setting aside an attempted settlement. For FY2022 the company reported a consolidated net loss of ₹8,245 crore (about $1.04 billion at the 2022 average rate of about 79.5 INR/USD).

02 / Byju's FAILURE REASONS

Failure reasons

Byju's collapsed under the weight of its own growth: years of heavy cash burn (₹13,668.5 crore in total expenses in FY2022 alone), an acquisition spree, and a $1.2 billion term loan that left the group dependent on fresh funding. Auditor Deloitte quit and the auditor flagged material uncertainty over the company's ability to continue as a going concern. The immediate trigger was a ₹158.9 crore default on its BCCI team-sponsorship deal, which led the NCLT to admit the company into corporate insolvency on 16 July 2024, suspending the board. Founder Byju Raveendran lost majority control of Aakash, BlackRock marked the valuation down 95% to $1 billion, and US lenders (GLAS Trust) fought to keep the insolvency process alive - winning at the Supreme Court in October 2024.

05 / CAUSAL CHAIN

How the factors connect

  1. 01

Byju's was founded in 2011 in Bengaluru by Byju Raveendran, growing into the world's most valuable edtech at a $22 billion valuation with roughly $5-6 billion raised, and buying about nine companies including Aakash for nearly $1 billion.

  2. 02

Cash burn ran out of control: FY2022 total expenses hit ₹13,668.5 crore while revenue from operations was ₹5,014.6 crore; the company reported a consolidated net loss of ₹8,245 crore (about $1.04 billion at the 2022 average rate of about 79.5 INR/USD).

  3. 03

Financials were delayed by nearly two years; auditor Deloitte quit; BlackRock marked its stake down 95% to a $1 billion valuation; lenders disputed the $1.2 billion term loan, with the auditor flagging material uncertainty over the group as a going concern.

  4. 04

On 16 July 2024 the NCLT admitted BCCI's insolvency plea over a ₹158.9 crore sponsorship default, suspending the board and appointing an interim resolution professional.

  5. 05

A ₹158 crore settlement with BCCI was approved by the NCLAT in August 2024, but the Supreme Court set it aside on 23 October 2024 and reinstated the insolvency process.

  6. 06

The post-mortem: hypergrowth funded by venture debt and a $1.2B term loan, governance failures (auditor exits, board resignations, delayed financials) and unchecked spending left no cushion when funding dried up; when the money ran out, creditors - not the founders - took control.
